The SEC has revoked the registration of Forum National Investments Ltd., Dan Clozza's yacht charter company. The regulator claims that Mr. Clozza was part of an on-line touting campaign in 2012 that boosted Forum to $1.90 (U.S.).

Arian Resources Corp. has arranged a $1-million private placement of 20 million units at five cents each. Each unit consists of one share and one warrant exercisable at 10 cents a share for five years. The company has also arranged a share-for-debt deal.

Crown Point Energy Inc. has rebutted dissident shareholder LAIG Oil Investments. It is providing reasons for shareholders to vote for the company's $8.5-million (U.S.) second tranche of a private placement, which offers no dilutive warrants.

Rockcliff Resources Inc. has completed an $18,333 final tranche of its private placement, issuing 366,667 working capital units. It has raised $384,033 in total.
- Zenn Motor arranges $900,000 private placement
Zenn Motor Company Inc. has arranged a private placement of 2.4 million units at 37.5 cents for $900,000. The company will use the proceeds for working capital and general purposes.
