The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 21, 2019.

Number of shares:  12,138,461 flow-through shares and 5.7 million non-flow-through shares

Purchase price:  6.5 cents per flow-through share and five cents per non-flow-through share

Warrants:  5.7 million share purchase warrants to purchase 5.7 million shares

Warrant exercise price:  seven cents for a two-year period

Number of placees:  eight placees

Finders' fees:  aggregate cash payments of $63,120 payable to Glores Capital Inc. and Leede Jones Gable Inc.
