The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 29, 2024, and Feb. 5, 2024.

Number of shares:  25 million shares

Purchase price:  10 cents per share

Warrants:  12.5 million share purchase warrants to purchase 12.5 million shares

Warrant exercise price:  15 cents for a two-year period

Number of placees:  52 placees

Total pro group involvement:  2.25 million (five pro groups)

Finder's fee:  $55,037.50, 315,000 shares and 865,375 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 15 cents for period of two years from the date of issuance.

The company issued a news release on Feb. 13, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
