WESTERN STAR CONSOLIDATES SHARE CAPITAL

Western Star Resources Inc., further to its news release of Feb. 26, 2024, effective at the opening for trading on Monday, March 25, 2024, the shares of the company will commence trading on the Canadian Securities Exchange on a consolidated basis, with one new common share being issued for every seven preconsolidated shares. All shareholders of record on Tuesday, March 26, 2024, will be entitled to the consolidation.

As a result of the consolidation, on the effective date, a total of 2,932,762 common shares will be issued and outstanding, subject to adjustments for rounding, with 1,239,686 warrants and 114,286 options outstanding. No fractional shares will be issued. There is no change in the trading symbol for Western Star. A new CUSIP number has been issued, being 95960L200.

Following completion of the consolidation, shareholders of the company who hold shares represented by a physical certificate or DRS (direct registration system) statement will receive a letter of transmittal from the transfer agent for the company, Marrelli Trust Company, with instructions on how to exchange their existing certificates or DRS statements for postconsolidation certificates or DRS statements.
