Number of shares:  925,925 units, each consisting of one common share and one common share purchase warrant

Purchase price:  54 cents per unit

Warrants:  925,925 warrants to purchase 925,925 shares

Warrant exercise price:  83.75 cents for a period of three years from the closing date

Number of placees:  one placee
