Effective April 26, 2024, the company's prospectus supplement dated April 22, 2024, to short form base shelf prospectus dated Nov. 21, 2023, was filed with and accepted by the TSX Venture Exchange.

The exchange has been advised that the closing occurred on April 26, 2024, for gross proceeds of $6,122,178.80.

Agents:  Roth Canada Inc. as co-lead agent and sole bookrunner, and Canaccord Genuity Corp. as co-lead agent with Roth, and Agentis Capital Markets LP

Offering:  9,403,352 units of the company (Each unit consists of one subordinate voting share in the authorized share structure of the company and one share purchase warrant. Each warrant entitles the holder thereof to purchase one share at an exercise price of 90 cents for a period of 36 months from the date of issuance.)

Unit price:  65 cents per unit

Agents' commissions:  an aggregate cash payment of $366,730.73, being equal to 6 per cent of the gross proceeds of the supplement offering; 564,200 non-transferable compensation warrants, exercisable into shares at a price of 65 cents per share for a period of 36 months from the date of issuance

Overallotment option:  The company granted to the agents an option to purchase additional shares of up to 15 per cent of the offering for 30 days from the date of closing. To date, the agents have elected to not exercise the overallotment option.
