The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced June 2, 2023.

Number of shares:  2,422,222 common share units, each unit consisting of one common share in the capital of the company and one non-transferable share purchase warrant; 2,051,282 flow-through (FT) units, each FT unit consisting of one flow-through common share and one-half of one warrant

Purchase price:  18 cents per unit and 19.5 cents per FT unit

Warrants:  3,447,863 whole warrants to purchase 3,447,863 shares

Warrant price:  25 cents, exercisable for a period of 36 months from the date of issuance

Number of placees:  three placees

Total pro group involvement:  2,051,282 FT units (one pro group member)

Finder's fee:  $24,000 (one finder)

The company issued a news release on June 7, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
