The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced April 4, 2023.

Number of shares:  4,300,743 common share units, each unit consisting of one common share in the capital of the company and one-half of one share purchase warrant; 7,971,250 flow-through (FT) units, each FT unit consisting of one flow-through common share and one-half of one warrant

Purchase price:  14 cents per unit; 16 cents per FT unit

Warrants:  6,135,997 whole warrants to purchase 6,135,997 shares

Warrant price:  23 cents, exercisable for a period of 18 months from the date of issuance

Number of placees:  25 placees

Finder's fee:  $53,514 cash

The company issued news releases on April 19, 2023, and May 9, 2023, confirming the closings of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the Warrants, if they are less than the maximum permitted term.
