The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 18, 2023.

Number of shares:  1,725,000 common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant; 1,448,000 flow-through (FT) units, each FT unit consisting of one flow-through common share and one warrant

Purchase price:  eight cents per unit and 10 cents per FT unit

Warrants:  3,173,000 warrants to purchase 3,173,000 shares

Warrant price:  Each warrant underlying a unit may be exercised into one additional share at an exercise price of 12 cents per share. Each warrant underlying an FT unit may be exercised into one additional share at an exercise price of 14 cents per share. The warrants may be exercised for a period of two years from the date of issuance.

Number of placees:  seven placees

Total existing insider involvement:  648,000

Finders' fees:  $11,840 cash and 88,000 warrants (two finders) (The finders' warrants are exercisable at 12 cents or 14 cents per finder's share until Dec. 13, 2024, in correlation with the securities found pursuant to the private placement.)

The company issued a news release on Dec. 18, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
