The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 7, 2023.

Number of shares:  4,557,500 common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant; 8,675,000 flow-through (FT) units, each FT unit consisting of one flow-through common share and one warrant

Purchase price:  eight cents per unit; 10 cents per FT unit

Warrants:  13,232,500 warrants to purchase 13,232,500 shares

Warrant price:  Each warrant underlying a unit may be exercised into one additional share at an exercise price of 12 cents per share. Each warrant underlying an FT unit may be exercised into one additional share at an exercise price of 14 cents per share. The warrants may be exercised for a period of two years from the date of issuance.

Number of placees:  31 placees

Total existing insider involvement:  one million (one insider)

Finders' fees:  $83,100 cash and 730,000 (three finders) (70,000 finders' warrants pursuant to unit subscriptions being exercisable at 12 cents per finder's share for a period of two years from the date of issuance; 660,000 finders' warrants pursuant to FT unit subscriptions being exercisable at 14 cents per finder's share for a period of two years from the date of issuance)

The company issued a news release on Nov. 7, 2023, to confirm the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
