VIQ SOLUTIONS ANNOUNCES INSIDER LED PRIVATE PLACEMENT

VIQ Solutions Inc. has arranged an offering of units of the company at an issue price of 18.6 cents per unit. The units will be offered on a non-brokered private placement basis, for aggregate proceeds of up to approximately $2-million.

Each unit consists of one common share of the company and one common share purchase warrant. Each warrant will entitle the holder thereof to acquire one common share at an exercise price of 18.6 cents per common share until the fifth year anniversary from the date of issuance.

The company intends to use the proceeds from the offering for working capital and general corporate purposes. Closing of the offering is expected to occur on or about Oct. 27, 2025 (the closing date), and is subject to the approval of the TSX Venture Exchange.

All securities issued under the offering, including securities issuable on exercise thereof, will be subject to a hold period in Canada of four months and one day following the closing date in accordance with applicable securities legislation.

Insiders of the company are expected to subscribe for approximately 10.2 million units. Accordingly, the offering is considered a related party transaction pursuant to Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions. The company will rely on Section 5.5(b) and the financial hardship exemption from the minority shareholder approval requirements set out in 5.7(1)(e) of MI 61-101.

A material change report in connection with offering will be led within 10 days of the date hereof which is less than 21 days before the date of closing of the offering. The company believes this shorter period is reasonable and necessary in the circumstances as the details of the offering were not finalized until immediately prior to the date hereof. A discussion and description of the review and approval processed adopted by the board of directors of the company and other information required by MI 61-101 will be set forth in the material change report.
