VENTRIPOINT ISSUES SHARES FOR PAYMENT OF DEBENTURE INTEREST AND REPORTS ON DEBENTURE CONVERSIONS
Ventripoint Diagnostics Ltd. will satisfy debenture interest payment obligations with the issuance of common shares, subject to TSX Venture Exchange approval. The corporation will issue an aggregate of 291,344 common shares for the payment of an aggregate of $36,989.01 of interest owing on certain outstanding convertible debentures issued by the corporation on
June 28, 2024, Dec. 16, 2024, Jan. 17, 2025, and Feb. 7, 2025. The convertible debentures bear interest at the rate of 10 per cent per annum, payable every six months. The shares will be issued at a deemed price of 12.7 cents, subject to the approval of TSX-V, and are subject to a hold period of four months and one day. The issuance of the shares will not create a control person of the corporation.
The debentures issued Jan. 17, 2025, and Feb. 7, 2025, an aggregate of $256,000, have been converted and so no further interest is owing on these series of debentures.
