VITALHUB CORP. ANNOUNCES ACQUISITION OF BOOKWISE SOLUTIONS LIMITED

Vitalhub Corp. has acquired BookWise Solutions Ltd., a company incorporated and existing under the laws of England and Wales.

BookWise offers specialist scheduling software for health care and corporate organizations ranging from general room booking software to more specialist scheduling systems. The BookWise suite of products have been developed to allow users to easily manage their resources including, but not limited to, specialist oncology scheduling, special day unit scheduling, outpatient scheduling, renal scheduling, doctor study leave management, and real-time room and facilities booking. BookWise proudly provides these services to over 150 customers empowering thousands of daily users in the united Kingdom and Australia.

Vitalhub acquired BookWise from its shareholders for a purchase price of 3,115,094.35 pounds sterling which includes the acquisition of approximately 1.64 million pounds sterling in cash on BookWise's books. The purchase price was satisfied by a cash payment of 3,115,094.35 pounds sterling, a portion of which will be held in escrow for a six-month period following closing of the acquisition.

For the 12-month period ending Dec. 31, 2023, BookWise had estimated revenues of 1.25 million pounds sterling of which more than 625,000 pounds sterling was identified to be recurring in nature from its current 150-plus customer base (these amounts are unaudited).
