The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 3, 2023.

Number of shares:  48,125,000 common shares

Purchase price:  eight cents per common share

Warrants:  24,062,500 share purchase warrants to purchase 24,062,500 shares

Warrant exercise price:  30 cents for a period of one year following the date of issue, subject to an acceleration of the expiry date in certain circumstances

Number of placees:  seven placees

Total existing insider involvement:  2,757,500 (three insiders)
