PRIVATE PLACEMENT

Teuton Resources Corp. intends to complete a non-brokered private placement consisting of the issuance of two million units at a price of 80 cents per unit for gross proceeds of $1.6-million. Each unit will consist of one common share and one-half of a warrant; each whole warrant entitles the purchaser to obtain one common share exercisable at $1.20, valid for two years from the closing of the private placement.

The private placement is subject to regulatory approval, including but not limited to approval of the TSX Venture Exchange, and all securities issued pursuant to the private placement will have a hold period of four months and one day.

There are no finders' fees or other commissions associated with the transaction.

The proceeds of the financing will be used mainly for exploration of its many mineral properties in the Golden Triangle area of northwestern British Columbia. Additional uses of the proceeds will be for general corporate purposes.
