The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 29, 2023, and Nov. 30, 2023.

Number of shares:  700,000 common shares in the capital of the company; 3,553,948 common share units, each unit consisting of one share and one-half of one share purchase warrant; 4,829,950 flow-through (FT) common share units, each FT unit consisting of one common share of the company on a flow-through basis and one-half of one warrant

Purchase price:  90 cents per share, 90 cents per unit and $1.05 per FT unit

Warrants:  4,191,946 warrants to purchase 4,191,946 shares

Warrant price:  $1.35 exercisable for a period of 24 months from the date of issuance

Number of placees:  55 placees

Total existing insider involvement:  1,111,100 (one insider)

Finders' fees:  $401,734.70 (Canadian), $6,000.12 (U.S.) and 373,950 warrants (10 finders)

Each finder's warrant entitles the holder to purchase an additional share at a price of $1.35 for a period of 24 months from the date of issuance.

The company issued news releases on Dec. 13, 2023, and on Feb. 1, 2024, to confirm the closing details of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
