TURNIUM PROVIDES AN UPDATE ON ITS PROPOSAL TO EXTEND THE TERM OF CERTAIN WARRANTS

Turnium Technology Group Inc. has provided an update on its application to the TSX Venture Exchange for the extension of certain of its common share purchase warrants.

The company is seeking an extension to the terms of the warrants as originally issued per the terms below:

• 30.21 million warrants issued on Aug. 1, 2023, with an expiration date of Aug. 1, 2026, at 14 cents per share; the company wishes to extend these to Aug. 1, 2028;
• 4.79 million warrants issued on Aug. 22, 2023, with an expiration date of Aug. 22, 2026, at 14 cents per share; there were 200,000 warrants exercised for this issuance in April, 2024, with a total of 4.59 million warrants remaining; the company wishes to extend these to Aug. 22, 2028; and
• 5,569,652 warrants issued on Aug. 22, 2024, with an expiration date of Aug. 22, 2026, at 10.5 cents per share; the company wishes to extend these to Aug. 22, 2028.

The proposed amendments to the expiration dates of the warrants are subject to the approval of the exchange.

All the original warrant terms remain unchanged. The company's directors and officers beneficially own, in the aggregate, less than 5 per cent of the total number of warrants.
