Purchase price:  13 cents per share

Warrants:  12,399,884 share purchase warrants to purchase 12,399,884 common shares

Warrant exercise price:  20 cents for a three-year period

Number of placees:  seven placees

Total existing insider involvement:  846,231 (two insiders)

The company issued news releases on Aug. 30, 2023, and Sept. 5, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
