Topaz Energy shareholders approve AGM resolutions

TOPAZ ENERGY CORP. ANNOUNCES RESULTS OF ITS ANNUAL MEETING OF SHAREHOLDERS

Topaz Energy Corp.'s shareholders approved all resolutions at the annual meeting of shareholders of the company held on June 14, 2023. A report of voting results will be available on SEDAR.

The resolution to appoint the eight nominees as directors of the company was passed on a vote by poll and each of the directors received votes for the election, as shown in the attached table.

The resolution to appoint KPMG LLP as the company's auditor was approved with 106,915,678 (99.97 per cent) of the shares represented at the meeting voting in favour of the resolution.

The non-binding advisory resolution to accept the company's approach to executive compensation was voted for with 104,872,316 (98.38 per cent) of the shares represented at the meeting voting in favour of the resolution.

The resolution to approve the unallocated options under the company's share option plan was approved with 85,271,483 (80.00 per cent) of the shares represented at the meeting voting in favour of the resolution.

Topaz's common shares are listed and posted for trading on the Toronto Stock Exchange under the trading symbol TPZ and it is included in the S&P/TSX Composite Index.
