TREASURY METALS ANNOUNCES CLOSING OF PRIVATE PLACEMENT FINANCING

Treasury Metals Inc. has closed its previously announced non-brokered private placement, raising gross proceeds of approximately $4,145,000 through the issuance of 29.6 million units at a price of 14 cents per unit.

Each unit consists of one common share in the capital of the company and one-quarter of one common share purchase warrant. Each whole warrant is exercisable at a price of 21 cents for a period of 60 months following the closing of the offering.

All securities issued in connection with the offering are subject to a four-month-and-one-day hold period in accordance with the rules of the Toronto Stock Exchange (TSX), and applicable Canadian securities laws and such other further restrictions as may apply under foreign securities laws. The offering remains subject to the final approval of the TSX.

The gross proceeds from the sale of the units will be used by the company to finance exploration and development activities, which include, but are not limited to permitting, community consultations and technical studies to support these activities toward advancing the Goliath gold complex and for working capital and general corporate purposes.

Certain directors and officers of the company participated in the offering, acquiring an aggregate of 1,525,000 units on the same terms as other investors for gross proceeds to the company of $213,500. The insider participation constitutes a related party transaction pursuant to Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions. The company is exempt from the requirement to obtain a formal valuation and minority shareholder approval in connection with the insider participation under MI 61-101 in reliance on sections 5.5(a) and 5.7(1)(a) of MI 61-101 due to the fair market value of the insider participation being below 25 per cent of the company's market capitalization for purposes of MI 61-101. The company did not file a material change report 21 days prior to the expected closing date of the offering as the details of the insider participation in the offering had not been finalized at that time. The offering was approved by the board of directors of the company with the interested directors disclosing their interest in the offering.
