The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced June 28, 2023.

Number of shares:  25 million common share units, each unit consisting of one common share in the capital of the company and one-half of one share purchase warrant

Purchase price:  20 cents per unit

Warrants:  12.5 million whole warrants to purchase 12.5 million shares

Warrant price:  30 cents, exercisable for a period of 36 months from the date of issuance

Number of placees:  63 placees

Agents' fees:  Beacon Securities Ltd., $182,324 cash and 1,007,475 warrants; Echelon Wealth Partners Inc., $67,790 cash and 431,775 warrants; CIBC Wood Gundy Securities Inc., $15,000 cash; Hampton Securities Ltd., $8,040 cash; IA Private Wealth Inc., $3,000 cash; Haywood Securities Inc., $4,020 cash; PI Financial Corp., $1,800 cash; Research Capital Corp., $3,000 cash; TD Securities, $1,140 cash; Credential QTrade Securities, $750 cash; BMO Nesbitt Burns Inc., $210 cash; RBC Dominion Securities Inc., $375 cash (The finders' warrants are exercisable into units at 20 cents per unit for a period of 36 months from the date of issuance.)

The company issued a news release on July 12, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
