Number of shares:  6,666,670 shares

Purchase price:  18 cents per share

Warrants:  6,666,670 share purchase warrants to purchase 6,666,670 shares

Warrant exercise price:  25 cents for a five-year period

Number of placees:  35 placees

Total existing insider involvement:  1,310,502 (seven insiders)

Finder's fee:  $1,500 cash and 4,166 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 25 cents for period of five years from the date of issuance.

The company issued a news release on Feb. 5, 2024, confirming the closing of the private placement.
