The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 4, 2023.

Number of shares:  28,571,428 common share units (Each unit consists of one common share in the capital of the company and one-half of one share purchase warrant.)

Purchase price:  13.125 cents per unit

Warrants:  14,285,714 whole warrants to purchase 14,285,714 shares

Warrant price:  17.5 cents, exercisable for a period of five years from the date of issuance

Number of placees:  68 placees

Total existing insider involvement:  3.5 million units (one insider)

Total pro group involvement:  500,000 units (three pro groups)

Finder's fee:  $9,975 (one finder)

The company issued a news release on Jan. 27, 2023, confirming the closing of the private placement.
