THERATECHNOLOGIES RECEIVES FINAL COURT APPROVAL OF PROPOSED PLAN OF ARRANGEMENT TO BE ACQUIRED BY FUTURE PAK

Theratechnologies Inc. has obtained the final order from the Superior Court of Quebec (commercial division) approving the previously announced plan of arrangement under Chapter XVI, Division II, of the Business Corporations Act (Quebec), involving CB Biotechnology LLC (the purchaser), an affiliate of Future Pak LLC. This final court approval follows the approval of the arrangement by the shareholders of the company at the special meeting of shareholders held on Sept. 12, 2025.

The company expects that, subject to the satisfaction at closing of the remaining closing conditions, the arrangement will be completed on or about Sept. 25, 2025.
