The Toronto Stock Exchange reports that Theratechnologies Inc.'s 5.75 per cent convertible unsecured senior notes will be halted at the open and delisted at the close on June 30, 2023. According to the TSX, the notes will mature on June 30, 2023, and the company will redeem the debentures for $1,028.75 (U.S.) per $1,000 (U.S.) principal amount, representing $1,000 (U.S.) principal amount and $28.75 (U.S.) of accrued and unpaid interest thereon to, but excluding, the maturity date.
The TSX reports that the noteholders have the option to convert the notes into shares of the company at any time before 5 p.m. Eastern Time on June 29, 2023, at $14.85 (U.S.) per share. This conversion price represents a conversion rate of approximately 67.3401 shares per $1,000 (U.S.) principal amount of notes. Buyers of notes who wish
to exercise their conversion right should make their purchases
sufficiently in advance of the deadline indicated in the relevant
CDS bulletin, allowing for adequate time for settlement. Trades on June 28, 2023, and June 29, 2023, will settle on June 29, 2023.
