The TSX Venture Exchange has accepted for filing the company's proposal to issue 150,000 shares at a deemed price of 28 cents and 75,000 warrants, in consideration of certain services provided to the company pursuant to an agreement dated June 27, 2023. Each warrant is non-transferable and exercisable to acquire one common share of the company at a price of 40 cents per common share for a period of 12 months from the date of issuance.

Total pro group involvement:  $42,000, 150,000 shares at 28 cents (one pro group)

Warrants:  75,000 share purchase warrants to purchase 75,000 shares

Warrant exercise price:  40 cents for a one-year period
