The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 13, 2023.

Number of shares:  1,923,077 Quebec flow-through shares and two million non-Quebec flow-through shares

Purchase price:  26 cents per Quebec flow-through share and 25 cents per non-Quebec flow-through share

Warrants:  1,961,538 share purchase warrants to purchase 1,961,538 shares

Warrant exercise price:  40 cents for a two-year period, subject to an acceleration clause

Number of placees:  two placees

Finder's fee:  $70,000 cash and 274,615 warrants

Finder's warrant terms:  Each finder's warrant is non-transferable and entitles the holder to purchase one common share at 40 cents for a period of two years, subject to an acceleration clause, from the date of issuance.

The company issued a news release on June 13, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
