The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on Sept. 7, 2023.

Number of shares:  6,818,500 common shares in the capital of the company on a flow-through (FT) basis and 4,267,000 common shares in the capital of the company on a premium flow-through basis

Purchase price:  93 cents per FT share and $1.13 per premium FT share

Number of placees:  11 placees

Total pro group involvement:  442,478 premium FT shares (one pro group)

Finder's fee:  Clarus Securities Inc., $669,774.90 cash and 665,130 warrants (The finder's warrants are exercisable into common shares of the company at $1.13 per common share for a period of 24 months from the date of issuance.)

The company issued news releases on Oct. 5, 2023, and Oct. 10, 2023, confirming the closings of the private placement.
