The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 15, 2023.

Charity flow-through shares -- I

Number of shares:  2,333,334 charity flow-through shares

Purchase price:  75 cents per share

Warrants:  1,166,667 share purchase warrants to purchase 1,166,667 shares

Warrant exercise price:  90 cents for a three-year period

Charity flow-through shares -- II

Number of shares:  six million charity flow-through shares

Purchase price:  77 cents per share

Warrants:  six million share purchase warrants to purchase six million shares

Warrant exercise price:  80 cents for a three-year period

Number of placees:  two placees

Finder's fee:  $282,800 cash and 420,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 80 cents for period of three years from the date of issuance.

The company issued a news release on Dec. 15, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
