The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 8, 2023.

Number of shares:  3.25 million non-flow-through common shares and 11.5 million flow-through common shares

Purchase price:  four cents per non-flow-through common share and five cents per flow-through common share

Warrants:  7,375,000 common share purchase warrants to purchase 7,375,000 common shares

Warrant exercise price:  1,625,000 common share purchase warrants at six cents for 24 months; 5.75 million common share purchase warrants at eight cents for 24 months

Number of placees:  eight placees

Total existing insider involvement:  one million (one insider)

Finder's fee:  $50,000 cash and 500,000 warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at the price of eight cents for a period of 24 months from the date of issuance.

The company issued news releases on Dec. 19, 2023, and Jan. 2, 2024, confirming the closing of the private placement. Additionally, the company issued updating news releases on Jan. 5, 2024, and Jan. 30, 2024. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
