Non-flow-through (NFT) shares

Purchase price:  11 cents per non-flow-through share

Warrants:  9,123,015 share purchase warrants to purchase 9,123,015 common shares

Warrant exercise price:  16.5 cents for a two-year period

Flow-through (FT) shares

Number of shares:  15,715,733 flow-through shares

Purchase price:  12 cents per flow-through share

Warrants:  15,715,733 share purchase warrants to purchase 15,715,733 common shares

Warrant exercise price:  16.5 cents for a two-year period

Number of placees:  57 placees

Total existing insider involvement:  20,000 NFT shares (one insider)

Total pro group involvement:  1,366,820 NFT shares (five pro groups); 1.82 million FT shares (six pro groups)

Finder's fee:  $160,756.67 cash and 1,166,857 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 16.5 cents for period of two years from the date of issuance.

The company issued news releases on May 11, 2023, and May 17, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
