Warrants:  26,946,423 share purchase warrants to purchase 26,946,423 common shares

Warrant exercise price:  13 cents for a one-year period

Non-flow-through (NFT) shares

Number of shares:  3.2 million non-flow-through shares

Purchase price:  6.5 cents per NFT share

Warrants:  3.2 million share purchase warrants to purchase 3.2 million common shares

Warrant exercise price:  13 cents for a two-year period

Number of placees:  26 placees

Total existing insider involvement:  453,846 FT shares (three insiders)

Finder's fee:  $179,162.10 cash and 2,666,340 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 10 cents for period of one year from the date of issuance.

The company issued news releases on Dec. 19, 2023, and Jan. 29, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
