The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Feb. 6, 2024, and amended Feb. 13, 2024.

Number of shares:  23,350,009 shares

Purchase price:  five cents per share

Warrants:  23,350,009 share purchase warrants to purchase 23,350,009 shares

Warrant exercise price:  seven cents for a three-year period

Number of placees:  36 placees

Total existing insider involvement:  9,265,263 (seven insiders)

Total pro group involvement:  110,000 (one pro group)

Finder's fee:  $5,950 cash and 119,000 warrants

Finder's warrant terms:  42,000 non-transferable warrants, each entitling the holder to purchase one common share at the price of five cents for period of two years from the date of issuance; 77,000 non-transferable warrants, each entitling the holder to purchase one common share at the price of seven cents for period of three years from the date of issuance

The company issued news releases on Feb. 20, 2024, and April 2, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
