The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on May 3, 2023.

Number of shares:  22.6 million shares

Purchase price:  10 cents per share

Warrants:  22.6 million share purchase warrants to purchase 22.6 million shares

Warrant exercise price:  15 cents for a two-year period

Number of placees:  23 placees

Total existing insider involvement:  14,052,340 (seven insiders)

Total pro group involvement:  1.5 million (one pro group)

Finder's fee:  $959 cash and 9,590 warrants

Finder's warrant terms:  Each non-transferable warrant entitles the holder to purchase one common share at the price of 15 cents for two years from the date of issuance.

The company issued news releases on June 20, 2023, Aug. 1, 2023, and Aug. 31, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
