The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 10, 2023.

Convertible debenture:  $600,000

Conversion price:  convertible into six million units at a price of 10 cents per unit until maturity (Each unit consists of one common share and one common share purchase warrant, with each warrant entitling the holder to acquire one additional common share, at an exercise price of 10 cents per share, for a period of three years.)

Term of maturity:  90 days from issuance

Interest rate:  14 per cent per annum

Number of placees:  one placee

Total existing insider involvement:  six million (one insider)
