The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 9, 2023, and Oct. 14, 2023.

Charity flow-through (CFT) units

Number of shares:  one million CFT shares

Purchase price:  33 cents per CFT share

Warrants:  500,000 share purchase warrants to purchase 500,000 shares

Warrant exercise price:  35 cents for a two-year period

Flow-through (FT) shares

Number of shares:  4,112,500 FT shares

Purchase price:  24 cents per FT share

Non-flow-through (NFT) units

Number of shares:  3,985,000 NFT shares

Purchase price:  23 cents per NFT share

Warrants:  1,992,500 share purchase warrants to purchase 1,992,500 shares

Warrant exercise price:  35 cents for a two-year period

Number of placees:  10 placees

Finder's fee:  $54,303 cash and 236,100 warrants

Finder's warrant terms:  Each non-transferable warrant entitles the holder to purchase one common share at the price of 23 cents for a period of two years from the date of issuance.

The company issued news releases on Oct. 4, 2023, Oct. 6, 2023, and Oct. 19, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
