An anonymous director of Atha Energy reports

ATHA ENERGY CORP. - EARLY WARNING REGARDING ACQUISITION OF COMMON SHARES OF LATITUDE URANIUM INC.

Atha Energy Corp. has acquired 232,734,103 commons shares of Latitude Uranium Inc., which represent 100 per cent of Latitude's currently issued and outstanding shares pursuant to a court-approved plan of arrangement under the Business Corporations Act (Ontario) involving Atha Energy and Latitude.

Pursuant to the arrangement, each common share of Latitude was acquired by Atha Energy on the basis of 0.2769 of a common share of Atha Energy for each Latitude share. An aggregate of 64,444,004 Atha Energy shares were issued to former shareholders of Latitude.

Prior to the completion of the arrangement, Atha Energy did not beneficially own or control any securities of Latitude, and accordingly, Atha Energy's ownership increased from 0 per cent to 100 per cent of the issued and outstanding Latitude shares following completion of the arrangement.
