The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on May 8, 2023.

Number of shares:  11,846,150 common shares

Purchase price:  52 cents per common share

Warrants:  5,923,075 share purchase warrants to purchase 5,923,075 shares

Warrant exercise price:  72 cents until May 16, 2026

Number of placees:  36 placees

Total existing insider involvement:  45,000 (two insiders)

Brokers' fees:  Beacon Securities Ltd., $184,637.94 in cash and 355,384 broker warrants; Paradigm Capital Inc., $184,637.94 in cash and 355,385 broker warrants

Broker warrant terms:  Each non-transferable broker warrant entitles the holder to acquire one common share at 52 cents until May 16, 2026.

The company issued a news release on May 16, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
