The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Feb. 14, 2024, Feb. 26, 2024, March 6, 2024, and March 13, 2024.

Number of shares:  38,333,334 shares

Purchase price:  12 cents per share

Warrants:  38,333,334 share purchase warrants to purchase 38,333,334 shares

Warrant exercise price:  20 cents for a three-year period

Number of placees:  117 placees

Total existing insider involvement:  1,633,333 (six insiders)

Total pro group involvement:  142,500 (one pro group)

Finder's fee:  $271,227.72 cash and 2,245,538 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 12 cents for period of three years from the date of issuance.

The company issued a news release on March 13, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
