Rover Critical Minerals Corp GUNNAR PEDERSEN FILES EARLY WARNING REPORT IN CONNECTION WITH ACQUISITION OF SECURITIES OF ROVER CRITICAL MINERALS CORP.

Gunnar Pedersen (the acquiror), a director of Rover Critical Minerals Corp., has filed an early warning report in connection with the acquisition of additional securities of Rover Critical Minerals.

On July 16, 2025, the acquiror acquired 843,920 common shares and 421,960 share purchase warrants of the company at a price of 15 cents per unit for total consideration of approximately $126,588, pursuant to a private placement.

Prior to the acquisition, the acquiror beneficially owned or exercised control or direction over 1,375,000 common shares and 1,375,000 share purchase warrants, representing approximately 11.21 per cent of the issued and outstanding common shares of the company on a non-diluted basis and approximately 20.58 per cent on a partially diluted basis, assuming the exercise of the acquiror's warrants.

Following the acquisition, the acquiror beneficially owns or controls an aggregate of 2,218,920 common shares and 1,796,960 warrants. This represents approximately 14.95 per cent of the company's issued and outstanding common shares on a non-diluted basis and approximately 16.37 per cent on a partially diluted basis, assuming the exercise of the acquiror's warrants.

The securities were acquired for investment purposes.
