ROVER PROVIDES ADDITIONAL DISCLOSURE ON PIRENOPOLIS GOLD PROJECT ACQUISITION

Further to its news release dated April 10, 2025, Rover Critical Minerals Corp. is providing additional disclosure with regard to its option agreement with 1484902 B.C. Ltd. (148).

148 will now become a wholly owned subsidiary of Rover.

The three-year escrow agreement referred to in the April 10, 2025, news release will result in 10 per cent of the shares subject to the escrow agreement being released immediately from escrow and 15 per cent every six months thereafter.

Pursuant to an option agreement between 148 and Solaris Geologia e Pisquisa Mineral Ltda., the underlying optionor will retain a 2-per-cent net smelter return royalty (NSR) on any future mineral production. Rover will have the right to purchase 50 per cent of this NSR for $1-million (U.S.). The $45,000 (U.S.) payment to be made by the company referred to in the April 10, 2025, news release is to be made to either the underlying optionor or to the shareholders of the underlying optionor.

Notwithstanding the NSR, 148 or Rover will pay to the underlying optionor certain advanced royalty payments (which will be credited against future royalty payments owing), as follows:

1. $120,000 (U.S.) within 30 days of Rover announcing a resource;
2. $250,000 (U.S.) within 30 days of Rover announcing a decision to apply for a mining licence.
