ROCKRIDGE RESOURCES LTD. AMENDMENT TO RECENTLY CLOSED NON-BROKERED PRIVATE PLACEMENT

The private placement that Rockridge Resources Ltd. closed on July 10, 2020, has been increased by an additional $200,000 and the company has issued an additional two million units at a price of 10 cents per unit. Each unit comprises one common share and one warrant. Each warrant will entitle the holder to purchase one additional common share for a period of 42 months at a price of 17.5 cents per share. In addition, the company has paid an additional finder's fee of $14,000 and issued an additional 140,000 finder's warrants to an arm's-length party, with each finder's warrant bearing the same terms as the warrants.

All securities issued are subject to a four-month-and-one-day hold period. The use of proceeds is set out in the July 10, 2020, news release.
