The TSX Venture Exchange has accepted for filing the company's proposal to issue 253,273 shares at a deemed price of 38 cents in consideration of certain services provided to the company for the period from Oct. 1, 2023, to Dec. 31, 2023, pursuant to agreements dated Jan. 3, 2023, and publicly announced March 27, 2023.

Total non-arm's-length-party involvement:  $96,242.50, 253,273 shares at 38 cents (six parties)

The company shall issue a news release when the shares are issued.
