The TSX Venture Exchange has accepted for filing the company's proposal to issue 479,198 shares at a deemed price of 21 cents in consideration of certain services provided to the company for the period from July 1, 2023, to Sept. 30, 2023, pursuant to agreements dated Jan. 3, 2023, and publicly announced March 27, 2023.

Total non-arm's-length-party involvement:  $100,631.25, 479,198 shares at 21 cents (six parties)

The company shall issue a news release when the shares are issued.
