The TSX Venture Exchange has accepted for filing the company's proposal to issue 372,974 shares at a deemed price of 27 cents, in consideration of certain services provided to the company for the period from April 1, 2023, to June 30, 2023, pursuant to agreements dated Jan. 3, 2023, and publicly announced March 27, 2023.

Total non-arm's-length party involvement:  $110,702.50, 372,974 shares at 27 cents (six parties)

The company shall issue a news release when the shares are issued.
