The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 25, 2023.

Number of shares:  4,658,750 shares

Purchase price:  32 cents per share

Warrants:  4,658,750 share purchase warrants to purchase 4,658,750 shares

Warrant exercise price:  45 cents for a two-year period

Number of placees:  eight placees

Total existing insider involvement:  312,500 (one insider)

Total pro group involvement:  215,000 (two pro groups)

Finder's fee:  $4,480 cash and 14,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 45 cents for period of two years from the date of issuance.

The company issued news releases on Dec. 18, 2023, and Jan. 18, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
