H.I.G. CAPITAL COMPLETES ACQUISITION OF QUISITIVE

Quisitive Technology Solutions Inc. has successfully completed the previously announced plan of arrangement under the Business Corporations Act (British Columbia), pursuant to which, among other things, an affiliate of funds managed by of H.I.G. Capital acquired all of the issued and outstanding common shares of Quisitive for 57 cents per share in cash, other than shares previously held by certain employees who entered into rollover agreements.

The company received the final order from the Supreme Court of British Columbia approving the transaction on March 4, 2025, and the shares are expected to be delisted from the TSX Venture Exchange after the end of trading on March 12, 2025. The purchaser intends to cause Quisitive to submit an application to cease to be a reporting issuer under applicable Canadian securities laws.
