Private placement -- non-brokered

The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Nov. 15, 2023.

Number of shares:  1.2 million shares (postconsolidation)

Purchase price:  20 cents per share

Warrants:  1.2 million share purchase warrants to purchase 1.2 million shares

Warrant exercise price:  30 cents for a one-year period; 30 cents in the second year

Number of placees:  27 placees

Total existing insider involvement:  97,500 (two insiders)

Total pro group involvement:  100,000 (one pro group)

Finder's fee:  $16,800 cash and 84,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 30 cents for period of two years from the date of issuance.

The company issued a news release on March 12, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
