POWER METALS ENGAGES OUTSIDE THE BOX CAPITAL FOR DIGITAL MARKETING SERVICES

Power Metals Corp. has entered into a marketing and distribution service agreement with an arm's-length marketing firm, Outside The Box Capital Inc. of Oakville, Ont., to provide marketing services, including digital marketing services through various social media channels, to broaden media distribution awareness about the company.

The marketing agreement will have a term of six months starting on March 27, 2024, and Power Metals will pay OTBC a cash fee of $300,000 (U.S.) plus applicable taxes and also grant to OTBC 200,000 stock options having an exercise price of 40.5 cents per common share and vesting over a period of 12 months in four equal tranches, the first of which will vest three months after the date of grant. The stock options shall be subject to the terms and conditions of the company's current stock option plan. OTBC does not currently own any shares of the company as of the date hereof and has no direct relationship with the company other than as set out in this press release.
