The TSX Venture Exchange has accepted for filing documentation with respect to a non-arm's-length arrangement agreement between Premier American Uranium Inc. and Nuclear Fuels Inc. (NF), whereby the company acquired all of the issued and outstanding common shares of NF by way of a court-approved plan of arrangement under the provisions of the Business Corporations Act (British Columbia).

Under the agreement, each NF shareholder is entitled to receive 0.33 of a common share of the company for each common share of NF held. Further, the company will assume all of the outstanding NF warrants and NF options, and upon exercise or conversion of an NF convertible security, the holder thereof will receive that number of the company common shares based on the exchange ratio (the same consideration they would have been entitled to receive had they been NF shareholders at the effective time of the transaction).

In accordance, 32,521,748 common shares of the company have been issued under the agreement on closing. Further, up to an aggregate of 10,258,467 common shares may be issuable on exercise of the NF convertible securities.

Further, in connection with the acquisition, an arm's-length finder received $420,000 in cash and 138,942 common shares of the company.
